1. INTRODUCTION
The Board of Directors of MEASAT Global is pleased to announce that the Company proposes to amend its Articles of Association (“Articles”) (“Proposed Amendments to the Articles”)
2. RATIONALE
The Proposed Amendments to the Articles are intended to principally conform to the recent amendments to Chapter 7 (Articles of Association) of the Listing Requirements of Bursa Malaysia Securities Berhad (“Exchange”). Per the Exchange’s letter dated 14 December 2006, all listed issuers are required to amend their Articles to comply with the amended Chapter 7 no later than 15 January 2008.
The Company takes this opportunity to also review certain other provisions of the Articles to facilitate administration of the internal affairs of the Company.
Details on the Proposed Amendments to the Articles will be set out in a Circular to be despatched to shareholders of the Company in due course.
3. EFFECTS OF THE PROPOSED AMENDMENTS TO THE ARTICLES
The Proposed Amendments of Articles will not have any effect on the share capital, net assets, earnings and dividends of MEASAT Global or the shareholdings of the substantial shareholders of MEASAT Global.
4. CONDITION TO THE PROPOSED AMENDMENTS TO THE ARTICLES
The Proposed Amendments to the Articles requires the approval of the shareholders of MEASAT Global by way of a special resolution at the forthcoming Annual General Meeting of the Company to be convened.
5. DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS
None of the Directors or major shareholders of the Company or persons connected to the Directors or substantial shareholders have any interest, directly or indirectly, in the Proposed Amendments to the Articles.
6. OTHERS
The Proposed Amendments to the Articles will take effect from the date of passing of the special resolution.
